These Terms & Conditions (the “Terms”) are an agreement between CueNalysis (“CueNalysis,” “we,” “us,” or “our”) and the person or company that subscribes to or uses our services (“you”). They govern your use of cuenalysis.com and the subscription-based competitive research reports and related deliverables we provide (the “Services”). By checking the acceptance box at checkout, submitting an order, or using the Services, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.
1. The Services
CueNalysis provides recurring competitive research reports. Under the Standard plan, each subscription quarter includes one report per month covering the company and competitive set identified at checkout, along with the accompanying deliverables described on our website at the time of purchase. Report contents, format, and delivery schedule may be refined over time, provided the substance of what you purchased is preserved. The Services are intended for business use.
2. Billing
- Billing period and rate. Subscriptions are billed in advance in three-month (quarterly) increments at a rate of $1,200.00 USD per quarter, unless a different rate is stated at checkout.
- Automatic renewal. Your subscription renews automatically at the end of each quarterly billing period, and the then-current quarterly rate is charged to your payment method on file, until you cancel.
- Promotional pricing. Introductory or promotional discounts, where offered, are available to first-time subscribers only and apply only to the billing period stated in the offer. An account that has previously held a CueNalysis subscription is not eligible. After the promotional period, billing continues at the standard quarterly rate then in effect.
- Payment processing. Payments are processed by Stripe. We do not receive or store your full payment-card number. You authorize us, through Stripe, to charge your payment method for each billing period.
- Failed payments. If a renewal charge fails, we may retry the charge and may suspend report delivery until payment succeeds. If payment is not received within a reasonable period, we may treat the subscription as canceled.
- Price changes. We may change the quarterly rate with notice to you at least 30 days before the start of the billing period in which the new rate takes effect. If you do not agree to a rate change, cancel before that billing period begins.
- Taxes. Prices exclude applicable taxes. You are responsible for any sales, use, or similar taxes we are required to collect.
3. Cancellation and Refunds
- How to cancel. You may cancel at any time by emailing [email protected] from the email address on the account, or through any cancellation mechanism we make available (including any provided through Stripe).
- When cancellation takes effect. Cancellation takes effect at the end of the quarterly billing period in which you cancel. You will not be charged for any subsequent billing period, and you will continue to receive the reports included in the billing period you already paid for.
- Refunds. Except as described below or required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
- Where the law requires otherwise. Some jurisdictions have laws governing automatically renewing subscriptions, cancellation timing, or refunds that cannot be waived by contract. If the law that applies to you requires us to process your cancellation sooner, provide a particular cancellation method, or issue a full or prorated refund, we will comply with that law, and that law controls over the paragraphs above to the extent of any conflict. Nothing in these Terms limits any non-waivable right you have under applicable law.
4. Your Responsibilities
- Provide accurate account, company, and billing information and keep it current.
- Use the Services only for lawful business purposes and not to violate the rights of others.
- Do not resell, redistribute, or publish the reports outside your organization without our prior written consent.
- Do not submit sensitive personal information, credentials, or confidential information that is not necessary for us to provide the Services.
5. Reports and Intellectual Property
Upon payment, you receive a perpetual, non-exclusive license to use the reports and deliverables we prepare for you for your internal business purposes. CueNalysis retains ownership of its methodologies, templates, scoring frameworks, software, and all other materials and know-how used to produce the Services. Third-party content referenced in reports remains the property of its respective owners.
6. Research Basis and No Guarantee of Outcomes
Reports are prepared from publicly available information and analytical judgment. We work to make them accurate and useful, but we do not warrant that any report is complete, error-free, or current as of any particular date, and we do not guarantee any business outcome from acting on a report. Reports are not legal, financial, or investment advice. Decisions you make based on the Services are your own.
7. Disclaimers
Except as expressly stated in these Terms, the Services are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
8. Limitation of Liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) CueNalysis’s total liability arising out of or relating to the Services is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law.
9. Termination by CueNalysis
We may suspend or terminate the Services for material breach of these Terms, for non-payment, or where providing the Services would violate law or platform obligations. If we terminate other than for your breach or non-payment, we will refund the prorated unused portion of the current billing period.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
11. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date. Material changes take effect at the start of your next billing period after we provide notice, and continued use of the Services after that date constitutes acceptance. If you do not agree to updated Terms, cancel before they take effect.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except where the mandatory consumer-protection law of your jurisdiction applies. The parties will first attempt in good faith to resolve any dispute informally by contacting each other. Any dispute not resolved informally will be brought in the state or federal courts located in Los Angeles County, California, unless applicable law gives you the right to bring the claim elsewhere.
13. General
These Terms, together with the Privacy Policy and the order details presented at checkout, are the entire agreement between you and CueNalysis regarding the Services. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
